1. Acceptance of Terms and Conditions
1.1 Halal Development Corporation (“HDC”), a company incorporated in Malaysia
(Company Registration Number: 201801015508/1227524-K) manages the internet portal www.hdcglobal.com (“HDC Website”) and the Services (“Services” as hereinafter defined below) offered on the HDC Website, subject to the following Terms and Conditions (“Terms”).
1.2 The Terms apply to your access and use of the HDC Website and/or the Services. By
accessing any page of the HDC Website and/or using the Services, you agree to be bound by the Terms without limitation or qualification. If you do not accept the Terms, please discontinue your access to the HDC Website and/or use of the Services.
1.3 If you are registering and/or using the HDC Website and/or the Services on behalf of a
business entity, you represent and warrant that you have full legal authority to bind the entity to the Terms. If you do not have the legal authority to bind such entity to the Terms, please discontinue your access to the HDC Website and/or use of the Services.
2. Updates to Terms and Conditions
2.1 HDC reserves the right to update the Terms at any time by giving you notice by posting the
updated Terms on the HDC Website. You expressly acknowledge and agree that your continued use of the HDC Website and/or the Services after such update constitutes an acceptance of and agreement to be bound by the updated Terms. Once posted on the HDC Website, the updated Terms will apply to all users from the date of posting. You shall be responsible for reviewing the current version of the Terms each time you visit the HDC Website and/or use the Services.
3. The Services
3.1 The HDC Website provides the following:
General Services:
– Provides access to a wide range of general information on the Halal industry including without limitation, general information on Halal standards and audit and certification of Halal products.Subscription Services:
– Provides access to additional information and data on the Halal industry such as articles, journals, directories, presentations and databases. Subscription Services require users to be registered in accordance with Clause 4.2 below.
3.2 General Services and Subscription Services shall be collectively referred to as “the
Services”. HDC reserves the right at any time to modify or discontinue, temporarily or permanently, the Services or any part thereof with or without notice. You agree that HDC shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Services.
3.3 The Services are not available to, and may not be used by individuals who cannot form
legally binding contracts under applicable law. Without limiting the foregoing, the Services are not available to persons under the age of 18 years, to temporarily or indefinitely suspended users of the HDC Website and/or the Services or persons barred from receiving the Services under the laws of Malaysia or other applicable jurisdiction.
4. Membership and Registration
4.1 In order to access and use the Subscription Services on the HDC Website, you are required
to register by filling up the Registration Form. You hereby agree and warrant that:

  • that all information provided by you in the Registration Form (“Information”) is true, accurate, current and complete; and
  • that you will maintain and promptly update the Information if any of the Information becomes untrue, inaccurate, current and incomplete.
4.2 HDC has the right to suspend or terminate your registration and refuse any and all current
or future use of the HDC Website and/or the Services (or any part thereof) if HDC has reasonable grounds to believe that any Information provided by you is untrue, inaccurate, not current or incomplete.
5. User ID and Password
5.1 You will be assigned a User ID and a password upon completion of the Registration Form.
You are responsible for all actions and activities taken under that User ID and password and it is your responsibility to keep your User ID safe and to maintain the confidentiality of the User ID and password. You have no right to disclose or transfer your account or User ID to any other person.
5.2 You shall ensure that you logout at the end of each session and you shall immediately notify
HDC of any unauthorized use of your User ID and/or password or any other breach of security. HDC will not be held liable for any loss or damage arising out of your failure to comply with the provisions under this Clause 5 or for any unauthorized use of your User ID and/or password.
6. Use of the HDC Website
6.1 You agree to use the HDC Website and/or the Services for lawful purposes and in a way
that does not infringe the rights of, restrict or inhibit anyone else’s use and enjoyment of the HDC Website and/or the Services. Prohibited behaviour includes harassing or causing distress or inconvenience to any person, transmitting obscene or offensive content or disrupting the HDC Website and/or the Services.
7. Intellectual Property
7.1 All copyright, trade marks, design rights, patents and other intellectual property rights
(registered and unregistered) in and on the HDC Website and all content (including all applications) located on the HDC Website shall remain vested in HDC or its licensors. You may not copy, reproduce, republish, disassemble, decompile, reverse engineer, download, post, broadcast, transmit make available to the public or otherwise use the content of the HDC Website and/or the Services in any way except for personal and non-commercial use.
7.2 The names, images and logos identifying HDC and/or third parties and their products and
services are subject to copyright, design rights and trade marks of HDC and/or such third parties. Nothing contained in this Terms or on the HDC Website shall be construed as granting any licence or right to use any trade mark, design right or copyright of HDC and/or any third party.
8. User Submissions
8.1 By submitting any contribution (including any text, graphics, video or audio) on the HDC
Website, you agree to grant HDC free of charge permission and right to use your submissions in any way it wants, including without limitation, modifying and adapting it, in any media worldwide, irrespective of whether such submissions are published on the HDC Website (where applicable).
8.2 Copyright in your submission will remain with you and this permission is not exclusive, so
you can continue to use the material in any way including allowing others to use it.
8.3 You warrant and represent that your submission is your own original work and does not
infringe the intellectual property rights of any third party, your submission is not defamatory and does not infringe any laws, your submission is not in breach of any obligation of confidentiality express or implied, that you have the right to give HDC permission to use it for purposes specified in Clause 8.1 above and that you have the consent of any one who is identifiable in your submission. You acknowledge that you are not entitled to any compensation or reimbursement of any kind from HDC under any circumstances for your submission.
8.4 HDC will, where reasonably possible, display your name with your submission, unless you
request otherwise. HDC may need to contact you for administrative or verification purposes in relation to your submission.
8.5 If you do not agree to grant HDC the permission set out above, please do not submit your
contribution to the HDC Website.
9. Website Translation
9.1 HDC website use Google translation tool/code software for the translation of the web
content into the desired language(s). HDC shall not be responsible for the accuracy of the web content provided once translated. In the event of discrepancy between the English language and the translation provided, the English version shall prevails.
10. External Links
10.1 External links may be provided on the HDC Website for your convenience, but they are
beyond the control of HDC and HDC is not responsible for the content of any other websites or pages linked to or from the HDC Website. No endorsement of third party websites or content is implied. HDC has not verified the content of any such websites or pages. Use or reliance on any external links and any content contained on such external links is at your own risk. It is recommended that you view the linked website’s terms or privacy policy pages to understand how use of that website may affect you.
10.2 HDC is not responsible for the accuracy, timeliness or the continued availability or the
existence of content, hyperlinks or third party websites or pages linked to the HDC Website. Links to downloadable software sites are for convenience only and HDC is not responsible or liable for any difficulties or consequences associated with downloading the software. Use of any downloaded software is governed by the terms of the licence agreement, if any, which accompanies or is provided with the software
10.3 No hypertext links shall be created from any website to this website without prior written
permission of HDC. Please contact us if you wish to link to the HDC Website or would like to request a link to your website.
11. No Warranties
11.1 The information and materials contained in the HDC Website, including text, graphics,
links or other items are provided “as is” and “as available”. To the greatest extent permitted by applicable law and your local laws, HDC makes no warranties, representations, statements or guarantees, whether express or implied regarding the HDC Website and/or the Services, the information contained on the HDC Website and/or the Services, the security of you or your company’s personal information, material, information and/or submissions transmitted through the HDC Website.
11.2 To the greatest extent permitted by applicable law and your local laws, HDC makes no
warranty or representation that the information provided on the HDC Website and/or the Services is appropriate for use in any jurisdiction. By accessing the HDC Website and/or using the Services, you warrant and represent that you are legally entitled to do so and to make use of the information contained on the HDC Website and/or the Services.
11.3 To the greatest extent permitted by applicable law and your local laws, HDC does not
warrant or represent that the information contained on the HDC Website and/or the Services is accurate, complete, correctly sequenced, reliable or timely or that the HDC Website and/or the Services will be uninterrupted or free of errors and/or viruses. Use of the HDC Website and/or the Services is at your sole risk. You have sole responsibility for adequate protection and back up of data and/or equipment and for undertaking reasonable and appropriate precautions to scan for computer viruses or other destructive properties.
12. Disclaimer of Liability
12.1 To the greatest extent permitted by applicable law and your local laws, HDC shall not be
responsible for and disclaims all liability for any loss, liability, damage (whether direct, indirect, special, incidental or consequential), personal injury or expense of any nature whatsoever which may be suffered by you or any third party (including your company), as a result of or which may be attributable, directly or indirectly, to your access and use of the HDC Website and/or the Services, any information contained on the HDC Website and/or the Services, you or your company’s personal information, material, information or submissions transmitted through the HDC Website, even if you advise HDC of the possibility of such damages, losses or expenses.
12.2 To the greatest extent permitted by applicable law and your local laws, HDC shall not be
responsible for and disclaims all liability for any loss, liability, damage (whether direct, indirect, special, incidental or consequential), personal injury or expense of any nature whatsoever, whether caused by the negligence of HDC, its employees or otherwise arising in connection with the HDC Website and/or the Services, even if you advise HDC of the possibility of such damages, losses or expenses.
13. Termination
13.1 You agree that HDC may, in its sole discretion, without cause and without prior notice,
immediately terminate and/or suspend your account, and access to the HDC Website and/or the Services without any liability whatsoever. Cause for such termination shall include, without limitation:
  • breaches or violations or purported breaches or violations of the Terms or other incorporated agreements or guidelines
  • requests by law enforcement or other government agencies,
  • a request by you (self-initiated account deletions),
  • discontinuance or material modification to the HDC Website and/or the Services (or any part thereof),
  • unexpected technical or security issues or problems,
  • extended periods of inactivity, and/or
  • engagement by you in fraudulent or illegal activities.
13.2 Termination of your account includes:
  • removal of access to the HDC Website and/or the Services;
  • deletion of your password and all related information, files and content associated with or inside your account (or any part thereof), an
  • barring of further use of the HDC Website and/or the Services.
14. General
14.1 Entire Agreement. These Terms constitute the agreement between you and HDC in
relation to your access and use of the HDC Website and/or the Services. Unless otherwise specifically stated these Terms shall take precedence over all prior commitments, undertakings or representations, whether written or oral between you and HDC with respect to your use of the HDC Website and/or the Services.
14.2 Applicable Law. The Terms shall be governed by and construed in accordance with the
laws of Malaysia without giving effect to any principles of conflict of law. You hereby consent to submit to the exclusive jurisdiction of the Courts of Malaysia in respect of any disputes arising in connection with the Terms, the HDC Website and/or the Services or any matter related to or in connection therewith.
14.3 Electronic Form. A printed version of the Terms and of any notice given in electronic form
shall be admissible in judicial or administrative proceedings based upon or relating to these terms and conditions to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
14.4 Severability of Terms. If any of these terms are determined to be illegal, invalid or
otherwise unenforceable by reason of the laws of any state or country in which these terms are intended to be effective, the parties nevertheless agree that the court should endeavour to give effect to the parties’ intentions as reflected in the provisions and to construe such provision to the maximum extent permitted by law so as to render that provision valid and enforceable, and the other provisions of the Terms to remain in fill force and effect.
14.5 Waiver. The failure or delay of HDC to exercise or enforce any right in the Terms does not
waive HDC’s right to enforce that right.
